Digital Adoption Trials Terms & Conditions

1. INTRODUCTION 

1.1 The following terms and conditions apply to companies that register interest in the Digital Adoption Programme and participate in related events which may include seminars, training workshops online training delivered by any company that is part of UMi, that relate to the Digital Adoption Programme. UMi refers to UMi Commercial Limited. 

1.2 References to “us” means UMi and references to “we” and “our” shall be construed accordingly. Reference to “you” means the entity completing a booking request and references to “your” shall be construed accordingly. 

1.3 Defined terms have the meaning given to them within these Terms and Conditions. 

1.4 In light of the meanings given above to "we" and "you", references to “us”, “our” and "your" shall be construed accordingly. 

1.5 Written notice within this agreement includes by post and email to the other party. 

1.6 Events may be physical, virtual (via UMi’s event delivery platform OnAir) or hybrid. The nature of the event will be set out in all marketing materials in advance of the event taking place. 

1.6.1 UMi reserves the right to move a planned event between physical and virtual delivery, with advanced notice in writing to the participant, no less than 21 days prior to the event planned start date.

2. PROGRAMME TERMS

2.1 By registering your interest in or applying to the Programme, you agree on behalf of yourself and your business that if your application is successful:

- You will make every effort participate in the full support offered (e.g. Sat Nav, peer group sessions or 1-1 advice).

- You acknowledge that the delivery approach of the programme you receive will be randomly allocated to you.

- The delivery of the programme in this format is temporary as we are testing different delivery approaches.

- It is your responsibility to read the Programme description and determine whether it meets your requirements.

- You agree to be contacted by a third- party evaluator, Verian, during and after the Programme and engage in the evaluation to support the development of small business support.

2.2 The Department for Business and Trade (DBT) (which is providing funding for the Programme), reserve the right to cancel or postpone the Programme or courses within the Programme at any time.

2.3 We may need to change the content, structure, venue, timing, course directors/ presenters of the Programme (for example in the case of staff sickness or any other absence). We will endeavour to notify you of any such changes as soon as reasonably practicable.

2.4 The course materials used in the Programme have been collaboratively created for use within this Programme only. You do not have the right to use these materials for any further training or as part of any other course(s). You will not license, distribute, publish, broadcast or otherwise circulate such materials. You agree on behalf of your business that it will indemnify us in respect of any loss suffered by us as a result of any breach of this paragraph.

2.5 Online course and portal usernames and passwords are for your personal use only and should not be passed to anyone else. You should protect your log-in information at all times.

2.6 Unless otherwise agreed between you and UMi all facilities, amenities and equipment made available by it to you are only for the purposes of, and for the duration, of the Programme and must be used strictly in accordance with the UMi’s instructions from time to time.

2.7 You will comply with the end user licence agreement for the UMi Sat Nav terms and conditions of use and privacy notice.

2.8 If your application is successful and you participate in the Programme, you and your business agree to provide necessary information about your business to Umi and Verian, to help us evaluate the Programme as per the privacy policy. This will include, for example, contact information, information on your use of digital adoption practice, confidence around digital technology and likelihood to adopt etc. Data will be collected on registration, as part of a diagnostic before starting the Programme, and through surveys, some of which will take place after the Programme has finished.

2.9 The Programme is testing different methods of training delivery. Upon registration you will be randomly assigned to a delivery group. You cannot change the delivery group that you have been assigned to. You cannot re-apply to be in a different group. We will be checking for attempts to re-apply. If you are found to have re-applied, you will be removed from the Programme.

2.10 You can remove yourself from the Programme and request for your data to be deleted by requesting that you are removed by emailing  digitalknowledgeexchange@weareumi.co.uk.

2.11 You can remove yourself from the evaluation and request for your data to be deleted by requesting that you are removed by emailing uk-compliance@veriangroup.com with reference the ‘Digital Adoption Trials project, as per the privacy policy. 3.0 UMi OBLIGATIONS

3.1 We will

  • Deliver the Programme with reasonable care and skill and in a professional manner

  • Use reasonable endeavours to provide presenters, facilitators and mentors/coaches who are suitably qualified and experienced to deliver the Programme.

  • Use reasonable endeavours to ensure that the content of the Programme matches the Programme description.

4.0 ELIGIBILITY CRITERIA

To join the Programme, you must be a decision maker, owner or member of the senior management team within the business (such as Chief Executive, Finance Director or Operations Director)

In addition, your business must:

  • be a Small or Medium-sized Enterprise (SME) based in the United Kingdom;

  • be from any business sector, employing between 0-249 people;
